1. Scope and acceptance
These Terms of Service govern the use of SafetyOnCloud cloud backup, monitoring, restore assistance and related services provided by SafetyOnCloud LLC. By creating an account, submitting an order, completing Stripe Checkout, or using the service, the customer accepts these Terms and the documents incorporated by reference.
The person accepting these Terms represents that they have authority to bind the company or organization identified in the order or service request.
2. Incorporated documents
These Terms incorporate the Online Order Terms, Service Description, SLA and Support Policy, Data Processing Agreement, Privacy Policy, Acceptable Use Policy, and Cancellation and Refund Policy. If there is a conflict, a signed order form or custom agreement controls, followed by the Online Order Terms, these Terms, the Service Description, and then the other policies.
3. Services
SafetyOnCloud provides backup-related services such as backup configuration, cloud storage integration, monitoring, restore assistance, managed correction, and planned restore validation, depending on the plan and add-ons purchased.
Backup service availability, protected workloads, storage limits, retention, tests, reports and support levels depend on the selected plan, technical feasibility, access permissions, and supported technologies.
4. Customer responsibilities
The customer is responsible for selecting the appropriate plan, maintaining lawful rights to back up the data, providing accurate information, preserving administrative access, maintaining internet connectivity, keeping protected systems available, and promptly responding to notices about failed jobs, storage limits, credentials, agents or configuration changes.
SafetyOnCloud is not responsible for data that was not selected, reachable, supported, licensed, authorized, or technically available for backup.
5. Backup and restore limitations
Backup reduces risk but does not eliminate it. RTO, RPO, restore success, recovery time, data completeness and application consistency depend on the protected system, selected backup type, source data state, retention policy, storage availability, credentials, bandwidth and technical conditions at the time of backup and restore.
Unless expressly included in a written agreement, emergency production restores, disaster recovery execution, application reconfiguration, operating system repair, cybersecurity incident response and business continuity consulting are outside the standard plan scope.
6. Fees, billing and taxes
Public plans are billed in US dollars (USD) through Stripe. The customer authorizes recurring charges for the selected subscription, setup fees and add-ons. If the customer uses a card or payment method issued in another currency, the issuer may apply exchange rates and fees.
Prices may be changed for future subscription periods with notice where required. Taxes, duties, levies, bank charges, card issuer fees and currency conversion costs are the customer’s responsibility unless stated otherwise.
7. Suspension and termination
SafetyOnCloud may suspend or limit service for non-payment, abuse, security risk, unlawful use, excessive risk, breach of these Terms, or conditions that could affect the stability of the service or other customers.
After cancellation or termination, stored backup data may be deleted according to the applicable retention, offboarding and deletion policies. The customer is responsible for exporting or restoring required data before termination when supported and requested in time.
8. Data protection and security
Where SafetyOnCloud processes personal data on behalf of the customer, the Data Processing Agreement applies. The customer remains responsible for data classification, legal basis, notices to data subjects, retention requirements, and determining whether the service is appropriate for regulated or sensitive data.
SafetyOnCloud uses commercially reasonable technical and organizational measures appropriate to the service, but no service can guarantee absolute security or uninterrupted recovery under all circumstances.
9. Third-party services and sub-processors
SafetyOnCloud may use cloud infrastructure, storage, payment, communication, CRM, monitoring, support and backup technology providers to deliver the service. Those providers are used as part of the service supply chain and are subject to applicable commercial, security and data processing controls.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, the services are provided on a commercially reasonable basis and are not guaranteed to prevent every data loss event, outage, ransomware impact, accidental deletion, misconfiguration, legal violation or business interruption.
SafetyOnCloud’s aggregate liability is limited to the fees paid for the affected service during the three months preceding the event giving rise to the claim, unless a mandatory law or signed agreement requires otherwise. SafetyOnCloud is not liable for indirect, consequential, special, punitive, loss-of-profit, loss-of-revenue, loss-of-goodwill or business interruption damages.
11. Governing law and disputes
Unless a signed agreement states otherwise, these Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Mandatory consumer, privacy or data protection laws may apply where they cannot be waived.
12. Changes
SafetyOnCloud may update these Terms from time to time. Material changes will apply prospectively. Continued use or renewal after the effective date means acceptance of the updated terms.
